Subscription Services Agreement

Last updated: 17 October 2026

This agreement is between ELEGANTINSIGHTS LTD (company number 16278146, registered office Larch House, Parklands Business Park, Denmead, Hampshire, PO7 6XP) ("we", "us") and the business that takes out a subscription ("you"). It applies alongside our Terms of Service and Privacy Policy. If they conflict, this agreement wins for anything about your subscription.

1. The service

We give you a non-exclusive, non-transferable right to use ElegantInsights for your own business during your subscription, at the plan and usage limits you chose at checkout.

We may change or improve features. We will not materially reduce the overall functionality of your plan during a paid billing period, and we will give you 30 days' notice before removing a major feature.

2. Your account and users

  • Only you and your authorised staff or contractors may use your account.
  • You are responsible for their use of it and for keeping login details secure.
  • Tell us straight away if you suspect unauthorised access.

3. Restrictions

You must not:

  • copy, resell, sublicense or share the service outside your business;
  • reverse engineer it or try to access its source code;
  • remove or work around security, usage or billing controls;
  • use it to build a competing product.

4. Reports and other outputs

You may use the reports, SQL and other outputs you generate in your own business, including work you do for your clients. You must not:

  • use the service, its outputs or our prompts to build, train or improve a competing product or AI model;
  • sell or publish outputs, or community repository content, as a report library or template product for others to use;
  • try to extract our prompts, instructions or how the service is built.

5. Term and renewal

Your subscription runs for the billing period you chose (for example, monthly) and renews automatically for the same period until you cancel. You can cancel at any time with Manage Subscription on the Billing page; cancellation takes effect at the end of the current period.

6. Fees and payment

Paddle.com is our reseller and the Merchant of Record for all orders. Paddle takes payment, invoices you, and charges any VAT or other taxes. Fees are shown at checkout.

If a payment fails, Paddle will retry it. If it still cannot be collected, we may suspend the service until it is paid.

We may change our prices. We will tell you at least 30 days before a new price applies to your subscription, and you can cancel before it does.

7. Refunds

Refunds follow the Refunds section of our Terms of Service.

8. Your data

"Your data" means everything you or your users put into the service, including chats, reports and HaloPSA connection details.

  • You own your data.
  • You give us permission to host, process and transmit it, and to share it with our processors (listed in the Privacy Policy), only to provide, secure and improve the service.
  • We may use anonymised, aggregated usage statistics that do not identify you or your users.

If you send us feedback or suggestions, we may use them freely.

9. Confidentiality

Each of us will keep the other's confidential information private, use it only for this agreement, and share it only with people who need it and are bound to keep it confidential, or where the law requires.

10. Security

We maintain appropriate technical and organisational measures to protect the service and your data, including encryption in transit, two-factor authentication and access controls. We will tell you without undue delay if we become aware of a personal data breach affecting your data.

11. Suspension and termination

We may suspend your access if you breach this agreement, or if we must for security or legal reasons, until the issue is fixed. Either of us may end this agreement if the other commits a serious breach and does not fix it within 30 days of being told, or becomes insolvent.

When the agreement ends, your right to use the service stops. You can delete your account and data at any time before then.

12. Warranties

We will provide the service with reasonable skill and care. Apart from that, and to the extent the law allows, the service is provided "as is". AI-generated output can be wrong, so you are responsible for checking reports before you rely on them.

13. Liability

Nothing in this agreement limits liability for death or personal injury caused by negligence, for fraud, or for anything else the law does not allow to be limited.

Subject to that:

  • neither of us is liable for loss of profit, revenue, business, goodwill or data, or for indirect or consequential loss;
  • each party's total liability under this agreement in any 12 months is limited to the fees you paid in those 12 months.

14. General

  • Force majeure: neither of us is liable for delays caused by events beyond our reasonable control.
  • Assignment: you may not transfer this agreement without our consent. We may transfer it as part of a sale or reorganisation of our business.
  • Entire agreement: this agreement, the Terms of Service and the Privacy Policy are the whole agreement between us about the subscription.
  • Changes: we may update this agreement by giving you at least 30 days' notice by email or in the app.
  • Notices: we will send notices to your account email. Send yours to support@elegantinsights.co.uk.
  • Law: this agreement is governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
